Rede D’Or Sells 49.99% of São Luiz Star to Bradesco-Linked Hospital Group for R$223 Million

Deal strengthens partnership with Atlântica Hospitais as hospital operator focuses on asset-light strategy.

By Brazil Stock Guide – Rede D’Or São Luiz S.A. (B3: RDOR3), Brazil’s largest private hospital operator, has agreed to sell a 49.99% stake in the operations of Maternidade São Luiz Star, in São Paulo, to Atlântica Hospitais e Participações S.A., a hospital investment platform indirectly controlled by Grupo Bradesco Seguros. The transaction, valued at R$223 million in cash, strengthens the joint network Atlântica D’Or, which is 50.01% owned by Rede D’Or and 49.99% by Atlântica.

According to Bradesco, the deal marks another expansion of the Atlântica D’Or partnership — originally announced in May 2024 and subsequently broadened through two similar transactions over the past two years. The structure keeps Rede D’Or in charge of medical management while sharing operational ownership with the Bradesco group. The São Luiz Star facility, with 173 beds, is one of Rede D’Or’s flagship maternity hospitals in São Paulo.

Asset-light and capital-partnership strategy
For Rede D’Or, the deal supports an asset-light strategy, freeing capital from hospital operations while retaining control of the real estate assets. For Bradesco, it deepens its verticalization in healthcare, diversifying exposure beyond insurance and financial products. Atlântica Hospitais was designed to invest in Brazil’s health value chain through partnerships with established operators, combining capital discipline with long-term service integration.

Approvals pending
The transaction is subject to customary conditions precedent, including regulatory approvals. Upon completion, Atlântica D’Or will expand its footprint across major urban centers, consolidating Bradesco’s growing presence in the healthcare segment and Rede D’Or’s push to optimize its capital structure.
