Iberdrola Launches Tender Offer to Take Neoenergia Private After Buying Previ’s 30% Stake

Spanish utility sets a R$32.50 offer price — matching the Previ block — as it seeks to delist Neoenergia from B3’s Novo Mercado.

By Brazil Stock Guide – Iberdrola has filed a tender offer with Brazil’s securities regulator to acquire all remaining shares of Neoenergia (NEOE3) it does not already control, weeks after purchasing 30.29% from pension fund Previ. The offer is priced at R$32.50 per share, exactly the value Iberdrola paid for Previ’s 367.6 million-share block on October 31, and will be updated by the Selic rate until settlement.

Because the tender offer mirrors the terms of the Previ transaction, the CVM waived the requirement for a valuation report under Resolution 215. The filing initiates a 15-day window during which shareholders representing at least 10% of the free float may contest the price or request an appraisal process.

Corporate restructuring after the Previ acquisition

Iberdrola says the offer aims to “simplify the corporate and organizational structure” of Neoenergia, reducing the cost of maintaining a Category A issuer registration and the governance requirements of B3’s Novo Mercado. The acquisition of Previ’s stake consolidated Iberdrola’s control and set the reference price for a full delisting.

According to the company, migrating to Category B and leaving the Novo Mercado will provide greater financial and operational flexibility. Iberdrola has argued that liquidity levels and compliance burdens no longer justify keeping Neoenergia listed in Brazil’s highest governance tier.

What comes next

With the filing now under review, the CVM will analyze the tender-offer notice. Any dividends declared before settlement will be deducted from the R$32.50 price. Neoenergia said it will update investors as the process evolves.

If approved, the offer will end Neoenergia’s presence on the Novo Mercado and turn the utility into a wholly-owned Iberdrola subsidiary — completing a strategy that began with the purchase of Previ’s stake, which reshaped the ownership structure and established the benchmark price for the entire operation.

Neoenergia is one of Brazil’s largest integrated electricity groups, operating five power distribution companies, 18 transmission concessions and a renewable portfolio exceeding 3.8 GW across wind, solar and hydro assets. The company serves roughly 40 million people in six states and the Federal District, making Brazil Iberdrola’s most important market outside Europe and a core platform for the Spanish group’s long-term decarbonization and electrification strategy.
