By Brazil Stock Guide – Brazilian energy and biofuels producer Raízen (B3: RAIZ4) secured R$8.5 billion in reductions to federal tax penalties and interest under an agreement with Brazilian tax authorities, cutting its R$16.7 billion tax liabilities by approximately 51%. The company will settle the remaining R$8.2 billion through R$5.7 billion in accumulated tax losses and a cash payment of just R$2.5 billion, according to a regulatory filing released Wednesday, October 28.
The agreement, signed with Brazil’s National Treasury Attorney General’s Office (PGFN) and Federal Revenue Service, represents a major step in Raízen’s out-of-court financial restructuring. The settlement covers R$22.4 billion in total federal tax liabilities involving the company and other entities within its corporate group.
Tax settlement reduces Raízen’s financial obligations
Of the R$22.4 billion covered by the agreement, R$16.7 billion is economically attributable to Raízen, while the remaining R$5.7 billion is ultimately the responsibility of its controlling shareholders under existing contractual arrangements.
For the portion assigned to Raízen, the federal government approved R$8.5 billion in discounts on accumulated penalties and interest, subject to applicable legal limits.
The reductions bring the company’s outstanding settlement obligation down to R$8.2 billion, less than half the original amount.
However, Raízen will not need to settle that entire balance through direct cash transfers.
Instead, the company will use R$5.7 billion in accumulated tax losses to offset part of the remaining liabilities. The other R$2.5 billion will be paid upfront in cash.
The arrangement means the immediate cash payment represents approximately 15% of the R$16.7 billion originally attributable to Raízen.
The R$5.7 billion in tax losses used to settle Raízen’s obligations is separate from the R$5.7 billion in liabilities allocated to its controlling shareholders.
Agreement advances financial restructuring
The settlement is directly linked to Raízen’s ongoing out-of-court restructuring process, which seeks to reorganize the company’s financial obligations.
According to the company, reaching an agreement with federal tax authorities satisfies one of the conditions required to move forward with its broader financial restructuring.
The transaction establishes the treatment of a substantial portion of the group’s federal tax liabilities, combining reductions in penalties and interest with the use of accumulated tax losses and a cash payment.
The agreement also provides greater clarity over the allocation of tax obligations between Raízen and its controlling shareholders.
The company did not detail the payment arrangements for the R$5.7 billion attributable to controlling shareholders in Wednesday’s disclosure.
Raízen said it would provide further updates to shareholders and investors regarding any material developments related to the tax settlement and its restructuring process.
