Estrela Strikes $147 million Tax Deal With Brazil’s PGFN After Years of Disputes

Toymaker to use tax credits and discounts to cut final bill to R$72.4 million over 10 years.

(B3: ESTR4) said on Thursday it signed an individual settlement with Brazil’s Attorney General of the National Treasury (PGFN) to resolve tax liabilities totaling R$747.9 million (US$147 million). The deal includes a 65% reduction in interest, fines and charges, and allows the use of tax credits to cover most of the outstanding balance.

After discounts, the company can offset up to 70% of the debt with tax-loss carryforwards and negative CSLL bases, in addition to converting judicial deposits. The final balance of R$72.4 million (US$14.2 million) will be paid in up to 60 months for social security debts and 120 months for other taxes.

“The agreement provides financial predictability and closes disputes that had dragged on for years,” the company said in a filing.

Breathing room for a household name

Founded in 1937, Estrela is one of Brazil’s best-known toymakers, but has lost ground to global brands and imports. The settlement with PGFN gives the group breathing space at a time of financial strain, with some subsidiaries already in liquidation.

The deal covers units including Estrela Distribuidora de Brinquedos, Brinquedos Estrela Indústria e Comércio, Brinquemolde Licenciamento and Starcom. The accounting effects will be reflected in upcoming financial statements, according to CVM rules.

For Estrela, resolving its tax burden reduces the risk of asset freezes and improves its standing with creditors and investors. Even so, challenges remain: sustaining operations in a sector increasingly pressured by technology shifts, cheap imports and thin margins.
