By Brazil Stock Guide – TOTVS (B3: TOTS3) agreed to acquire agribusiness software firm TBDC Desenvolvimento de Software for R$80 million, reinforcing its push into vertical-focused solutions as Brazil’s largest ERP provider looks to expand recurring revenue streams in the farm economy. The transaction will be executed through its subsidiary Soluções em Software e Serviços TTS and includes a potential earn-out tied to performance targets.
Founded in 2018, TBDC develops software tailored to the agribusiness value chain, serving clients ranging from input manufacturers to rural producers, distributors and agricultural cooperatives. Its flagship product, TBDC CRM, is designed specifically for field operations, combining commercial management, demand generation, agronomic monitoring and farm profitability tools in a single platform. The company estimates its solutions cover about 15% of Brazil’s planted area and expects to reach net annualized recurring revenue of roughly R$24 million in 2025.
“This acquisition strengthens our portfolio by offering a CRM developed specifically for the realities of agribusiness, reducing complexity and increasing adoption among resellers, distributors and cooperatives,” said Dennis Herszkowicz, chief executive of TOTVS. “The complementarity of our solutions will allow for fast integration into the TOTVS ecosystem, benefiting our agribusiness clients.”
For TOTVS, the acquisition adds a sector-specific CRM layer to its existing agribusiness portfolio, a move aimed at reducing implementation complexity and increasing software adherence in a segment where generic enterprise systems often fall short. The company said the deal strengthens its role as a long-term technology partner for the digitalization of Brazil’s agricultural production chain.
