Tecnisa Gets R$260.9m BTG Offer for Jardim das Perdizes Stake

Binding proposal for 26% slice of flagship São Paulo project implies near-$R1bn valuation; deal could bolster liquidity amid uneven housing cycle.

By Brazil Stock Guide – Tecnisa (B3: TCSA3) said it received a binding proposal from BTG Pactual to acquire a 26.09% stake in Windsor Investimentos Imobiliários Ltda., the vehicle that develops the Jardim das Perdizes project in São Paulo, for $R260.9m in cash. The move would allow the homebuilder to partially monetize one of its most emblematic urban assets while retaining exposure to the development.

Tecnisa currently owns 52.5% of Windsor. If completed, the transaction would reduce — but not eliminate — its stake. The offer implies an equity valuation of roughly $R1bn for 100% of Windsor, providing investors with a rare market-based benchmark for Jardim das Perdizes, a large-scale mixed-use complex in São Paulo’s West Zone that combines residential towers, retail areas and green space in one of the city’s most sought-after districts.

The company said it is analyzing the proposal and cautioned that the deal may or may not go forward, depending on negotiations and the fulfillment of conditions precedent. These include creditor consents and approval from Brazil’s antitrust authority, the Administrative Council for Economic Defense (CADE), the federal agency responsible for reviewing mergers and acquisitions to prevent anti-competitive concentration.

For Tecnisa, the potential $R260.9m inflow could strengthen liquidity and provide flexibility in capital allocation at a time when Brazil’s real estate cycle is gradually stabilizing after a period of elevated interest rates. For BTG, the proposal signals appetite for large, land-bank-backed projects in prime São Paulo neighborhoods, suggesting a bet that demand for mid- to high-end housing is regaining traction.
