JPMorgan Raises Stake in Brava Energia to 5.15% Through Derivatives

The U.S. bank increased its exposure to Brava Energia via equity swaps and options.

By Brazil Stock Guide – JPMorgan Chase & Co. has lifted its indirect stake in Brava Energia S.A. (B3: BRAV3) to 5.15% of the company’s voting shares, according to a disclosure filed to the CVM on October 28. The move was executed through equity swap derivatives and options, expanding the bank’s exposure to the Brazilian power company amid heightened activity in the country’s electricity market.

According to the notice, JPMorgan now holds 23.95 million ordinary shares tied to financial instruments referencing Brava Energia’s stock — equivalent to 5.15% of the company’s total capital of 464.6 million shares. The transactions, carried out on October 24, involved the acquisition of 740,680 new derivative positions, primarily under over-the-counter (OTC) options and equity swaps, increasing the group’s exposure from below the 5% disclosure threshold.

JPMorgan said the investment was made solely for financial and hedging purposes, with no intent to influence Brava Energia’s control or management structure. “The increase in participation had an exclusively investment-related motivation and aims to hedge financial risks assumed in client transactions,” the U.S. bank stated in its filing to Brava Energia’s investor relations office.
