Hapvida abandons Rio oncology hospital deal with Oncoclínicas

By Brazil Stock Guide – Hapvida Participações SA (HAPV3) said on Tuesday (Jan. 27) it won’t proceed with the purchase of the Hospital de Oncologia do Méier in Rio de Janeiro, ending talks with Oncoclínicas do Brasil Serviços Médicos SA (ONCO3) announced in August last year.

The transaction was subject to due diligence, negotiation and execution of definitive agreements, and customary closing conditions. After completing the applicable steps, the parties failed to reach mutually satisfactory terms, leading Hapvida to terminate the binding agreement.

The deal had been valued at R$5.3 million, subject to adjustments for net debt and working capital at closing, in line with standard pricing mechanisms. The Méier facility has about 80 beds, four operating rooms, outpatient clinics, an imaging diagnostics center and an integrated radiotherapy service.

In a filing to Brazil’s securities regulator, Hapvida said: “After completing the applicable stages, the parties did not reach satisfactory terms and conditions and, therefore, the company decided to rescind the binding agreement, ending the negotiations.”

The company added that it remains disciplined in capital allocation and continues to assess opportunities aligned with its strategy. As part of that approach, Hapvida said it has revised the timeline for its own hospital project in Rio’s Cidade Nova district. “In this context, [Hapvida] revised the planning and construction schedule of its new hospital in Rio de Janeiro, Cidade Nova, to bring forward its opening (expected in the first half of 2027),” the company said.

The new high-complexity hospital is expected to have capacity for up to 250 beds, expanding care availability and supporting Hapvida’s demand in the Rio region.
