Ambipar plans up to BRL 3 billion in new debenture sale

Proceeds will repay existing notes and simplify Ambipar’s capital structure.

By Brazil Stock Guide – Ambipar Participações e Empreendimentos S.A. (B3: AMBP3) said it will raise as much as 3 billion reais ($570 million) through a new debt offering, according to a regulatory filing on Monday. The information was disclosed in a material fact released by the company.

The 7th issuance of simple debentures will be divided into two series and backed by a guarantee from Environmental ESG Participações S.A. The company said it is in talks to hire a financial institution to coordinate the deal.

Debt repayment and capital structure

Most of the proceeds will be used to repay outstanding notes from Ambipar’s 6th debenture issuance (AMBP16) and ESG’s 3rd issuance (EESG13). Both will be redeemed early at face value plus a premium. The company also said part of the funds will go toward strengthening and simplifying its capital structure.

Next steps

Detailed terms of the deal, including maturity and pricing, will be presented in the official indenture and subsequent market notices once the distribution process begins.
