Vinci Compass Takes Control of Rio Airport Operator RIOgaleão

Changi of Singapore retains 30% stake as Brazilian fund secures majority; deal awaits approval from ANAC and Cade, according to RIOgaleão

By Brazil Stock Guide – Vinci Compass, through its investment funds, agreed to acquire 70% of the controlling shareholder of RIOgaleão, the concessionaire that operates Rio de Janeiro’s international airport. Singapore’s Changi Airports retained the remaining 30% under a new partnership structure. The transaction still requires clearance from Brazil’s aviation regulator ANAC and antitrust authority Cade, the company said on Wednesday.

The move reshapes the ownership of Galeão airport, a key hub in Brazil’s aviation system. Changi, which had controlled 51% of the concession since its $8.9 billion (R$19 billion) bid in 2013—nearly four times the government’s minimum requirement—will now share control with Vinci, while state-owned Infraero maintains 49%. Post-transaction, Vinci holds an effective 35.7% stake and Changi 15.3% in the private block.

“The arrival of the new shareholder strengthens the company’s governance and financial stability,” RIOgaleão said in a statement.

The deal follows a June ruling by Brazil’s federal audit court (TCU), which ended the airport’s re-privatization process launched in 2022 and allowed the concession to remain under renegotiated terms. Those terms included removing the obligation to build a third runway, excluding Infraero from the shareholder base, and switching from fixed annual fees to a variable concession model in line with newer airport contracts.

Vinci Expands Its Infrastructure Footprint

For Vinci Compass, the acquisition cements its role in Brazil’s infrastructure sector. For Changi, which had long sought to exit the project, the decision to stay on with a minority stake reflects improved regulatory conditions and a stabilized partnership structure.

Passenger traffic at Galeão has been rebounding after government restrictions limited operations at Santos Dumont, Rio’s downtown airport, reinforcing the strategic importance of the concession. Analysts say Vinci’s entry positions RIOgaleão to capture more traffic growth and potential airline partnerships in the coming years
